License for Unlimited Use Digital Assets (CrayonToon Studios)
1. Grant of License
CrayonToon Studios (“CrayonToon”) grants you, the purchaser (“Licensee”), a non-exclusive, non-transferable, worldwide license to use the Digital Asset(s) (defined below) in accordance with the terms of this License.
2. Definitions
- Digital Asset(s): Refers to the animation assets, 3D models, characters, game assets, etc., downloaded from the CrayonToon website.
- Commercial Projects: Refers to any project intended to generate revenue, including but not limited to, games, films, animations, and applications.
3. Permitted Uses
- Licensee may use the Digital Asset(s) in an unlimited number of Commercial Projects.
- Licensee may modify and adapt the Digital Asset(s) to fit their specific needs.
4. Prohibited Uses
- Licensee may not resell, redistribute, or sublicense the Digital Asset(s) on their own.
- Licensee may not claim ownership of the Digital Asset(s).
- Licensee may not use the Digital Asset(s) in a manner that is obscene, defamatory, or infringes on the intellectual property rights of others.
5. Ownership
- CrayonToon retains all ownership rights to the Digital Asset(s).
6. Disclaimer of Warranty
The Digital Asset(s) are provided “as is” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
CrayonToon shall not be liable for any damages arising from the use of the Digital Asset(s), including but not limited to, direct, indirect, incidental, special, consequential, or punitive damages.
8. Termination
This License will terminate automatically if Licensee breaches any of its terms.
9. Governing Law
This License shall be governed by and construed in accordance with the laws of India.
10. Entire Agreement
This License constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
11. Severability
If any provision of this License is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
By downloading the Digital Asset(s), Licensee agrees to be bound by the terms of this License.
